Effective Date: July 8, 2026

This Delivery Driver Agreement ("Agreement") is entered into between 404Eats ("404Eats," "we," "our," or "us") and the individual ("Driver," "you," or "your") who registers to provide delivery services through the 404Eats platform.

By creating a driver account or accepting delivery requests through the Platform, you agree to be bound by this Agreement.

1. Independent Contractor Relationship

You acknowledge that you are an independent contractor and not an employee, partner, agent, or representative of 404Eats.

Nothing in this Agreement creates an employment relationship. You are solely responsible for your own taxes, insurance, licenses, permits, and business expenses.

2. Eligibility

To use the Platform as a Driver, you must:

• Be at least 18 years of age.
• Possess a valid driver's license.
• Maintain valid vehicle registration.
• Maintain legally required automobile insurance.
• Pass any background screening required by 404Eats.
• Meet all eligibility requirements established by 404Eats.

You agree to notify 404Eats immediately if you no longer meet these requirements.

3. Driver Account

You agree to:

• Provide accurate and current information.
• Keep your login credentials secure.
• Maintain accurate payment information.
• Notify us promptly of changes to your contact information or vehicle.

4. Accepting Deliveries

Drivers may choose whether to accept or decline available delivery requests.

Once you accept a delivery, you agree to:

• Pick up the order promptly.
• Deliver the order to the customer as quickly and safely as reasonably possible.
• Follow all delivery instructions.
• Handle food with reasonable care.

5. Driver Responsibilities

Drivers agree to:

• Obey all traffic laws.
• Operate their vehicle safely.
• Never drive while impaired by alcohol or drugs.
• Treat customers, merchants, and the public respectfully.
• Protect customer privacy.
• Keep insulated delivery equipment clean and sanitary when required.

Drivers are solely responsible for the safe operation of their vehicle.

6. Vehicle Requirements

Drivers must ensure that their delivery vehicle is:

• Safe to operate.
• Properly maintained.
• Legally registered.
• Covered by the insurance required by law.

404Eats may request proof of registration or insurance at any time.

7. Payments

Driver compensation is determined according to the compensation schedule established by 404Eats.

Payments may include:

• Delivery fees
• Incentives
• Promotions
• Customer tips

Customer tips belong entirely to the Driver.

Payments are generally processed on the schedule established by 404Eats, subject to applicable deductions required by law or authorized by this Agreement.

8. Expenses

Drivers are responsible for all costs associated with providing delivery services, including:

• Fuel
• Vehicle maintenance
• Insurance
• Cellular service
• Taxes
• Parking fees
• Traffic citations
• Tolls

404Eats does not reimburse these expenses unless required by law or agreed to in writing.

9. Customer Service

Drivers agree to provide professional service and to:

• Communicate respectfully.
• Deliver orders accurately.
• Report delivery issues promptly.
• Cooperate with customer support investigations.

Drivers shall not open customer food containers except where necessary to verify an order at the request of the merchant.

10. Prohibited Conduct

Drivers shall not:

• Deliver while under the influence of alcohol or drugs.
• Falsify deliveries.
• Steal food or customer property.
• Harass customers or merchants.
• Share customer information.
• Tamper with food.
• Commit fraud or misuse promotions.
• Engage in unlawful conduct while using the Platform.

Violations may result in immediate suspension or permanent removal.

11. Background Checks

404Eats may require criminal background checks, driving record reviews, or identity verification before or during your participation on the Platform, subject to applicable law.

12. Insurance

Drivers are responsible for maintaining all legally required insurance.

404Eats does not provide automobile insurance for Drivers unless expressly stated in writing.

Drivers are responsible for ensuring that their insurance policy covers delivery activities where required.

13. Ratings & Performance

404Eats may evaluate Driver performance using factors including:

• Customer ratings
• Merchant feedback
• Delivery completion rate
• Timeliness
• Professional conduct

Repeated poor performance may result in suspension or termination of Platform access.

14. Suspension & Termination

404Eats may suspend or terminate your account for reasons including:

• Fraud
• Unsafe driving
• Repeated customer complaints
• Criminal activity
• Failure to maintain required insurance or licensing
• Misuse of the Platform
• Violation of this Agreement

You may stop using the Platform at any time.

15. Privacy

Drivers must protect customer, merchant, and Platform information.

Customer personal information may be used only to complete deliveries and may not be retained, shared, or used for any other purpose.

16. Intellectual Property

All Platform software, trademarks, logos, branding, and technology remain the exclusive property of 404Eats.

Drivers receive only a limited license to use the Platform for authorized delivery services.

17. Disclaimer

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

404Eats does not guarantee:

• Delivery opportunities
• Earnings
• Continuous Platform availability
• Minimum income
• Specific working hours

18. Limitation of Liability

To the fullest extent permitted by law, 404Eats shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of the Platform.

404Eats' total liability under this Agreement shall not exceed the total compensation paid to the Driver during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in this Agreement limits liability that cannot legally be excluded.

19. Indemnification

You agree to defend, indemnify, and hold harmless 404Eats and its affiliates, officers, employees, contractors, and agents from claims, damages, losses, liabilities, and expenses arising from:

• Your negligence or misconduct.
• Your operation of a motor vehicle.
• Personal injury or property damage caused by you.
• Your violation of applicable law.
• Your breach of this Agreement.

20. California Drivers

Drivers operating in California are entitled to any rights and protections required by applicable California law. Nothing in this Agreement is intended to waive any non-waivable rights provided under California law.

21. Governing Law

This Agreement is governed by the laws of the State of Georgia, without regard to conflict of law principles.

Unless prohibited by applicable law, disputes arising from this Agreement shall be resolved exclusively in the state or federal courts located in Fulton County, Georgia.

22. Changes to this Agreement

404Eats may update this Agreement from time to time.

Updated versions become effective upon posting. Continued use of the Platform constitutes acceptance of the revised Agreement.
